Quarterhill Announces Details of Virtual Annual Meeting


KITCHENER, ON, March 19, 2020 /PRNewswire/ - Quarterhill Inc. ("Quarterhill" or the "Company") (TSX: QTRH) (OTCQX: QTRHF), announces details of its upcoming virtual Annual Meeting of shareholders ("AGM") to be held on Wednesday April 15, 2020 at 9:30 am (Eastern Standard Time).

To proactively deal with potential issues arising from the unprecedented public health impact of coronavirus disease 2019 or COVID-19, Quarterhill will hold its AGM in a virtual-only format conducted by live audio webcast. The decision to move to a virtual meeting was made with the safety and health of our communities, shareholders, employees, directors and other stakeholders as the top priority.

Quarterhill's Notice of Meeting, Management Information Circular (the "Circular") and the accompanying form of proxy (collectively the "Meeting Materials") were mailed on or about March 19, 2020. If you have not received your Meeting Materials by March 31, 2020, please immediately contact your broker if you are a non-registered shareholder or contact Computershare if you are a registered shareholder. These materials outline in detail how to participate in the Company's virtual AGM.

As in prior years, shareholders have multiple options to cast their vote ahead of the AGM, which include on-line, via telephone or via mail. Details on using each method are included in the Circular and the form of proxy. We encourage shareholders to vote in a timely manner in order to voice their opinion and to ensure quorum is reached.

All shareholders will be able to listen to the virtual AGM as guests via our audio webcast. Registered and non-registered shareholders who want to attend as guests can login online at:, click "Guest" and then complete the online form. We recommend that you log in at least ONE HOUR prior to the start time of the AGM on April 15, 2020.

For registered and/or non-registered shareholders to vote their proxies and/or ask questions at the AGM or to have their designated proxy cast their vote and/or ask questions at the virtual AGM on their behalf, shareholders must follow the instructions set out in our Circular.

REGISTERED SHAREHOLDERS and duly appointed proxyholders can attend the virtual AGM, ask questions and vote, all in real time, but must comply with all of the requirements set out on pages 2-8 of the Circular and must be connected to the Internet (at at all times during the virtual AGM.

NON-REGISTERED (OR BENEFICIAL) SHAREHOLDERS will be able to attend the virtual AGM, ask questions and vote, all in real time, ONLY if they duly appoint themselves as their own proxyholder and comply with all of the requirements set out on pages 2-8 of the Circular relating to that appointment and registration.

All shareholders wishing to have a question addressed at the virtual AGM can avoid the registration requirements set out on pages 2-8 in the Circular by submitting them in advance to Quarterhill is committed to addressing appropriate questions submitted by shareholders either live during the AGM or in advance, as timing and circumstances permit.

Please note that in light of the rapidly evolving environment related to the COVID-19 outbreak, the ability to deliver the virtual AGM as planned could be compromised. Should the Company be required to alter its plans regarding the virtual AGM, leading to a cancellation or postponement, the details of any such change would be communicated via press release and made available at the Company's website
