Amended Agreement Includes Licensing of MAC Software

Calgary, Canada - April 30, 2004 - Wi-LAN Inc. (TSX:WIN), a global provider of broadband wireless communications products and technologies , today announced an amendment to its product development and technology license agreement with Fujitsu Microelectronics America, Inc. (FMA). Originally signed in August 2002, the agreement has been amended to include royalties to Wi-LAN for its Media Access Control (MAC) software, in addition to the original royalties for the use of Wi-LAN's OFDM technology and expertise. The MAC software is an essential component of the System-on-Chip (SoC) that Wi-LAN and FMA are co-developing as part of their goal to produce the world's first WiMAX Certified* broadband wireless system. The amended agreement focuses exclusively on the development of a SoC for WiMAX Certified systems and includes increased responsibilities and commitments for FMA and changes to Wi-LAN's obligations.

"Our SoC development work with Fujitsu Microelectronics America is progressing very well," said Dr. Sayed-Amr El-Hamamsy, Wi-LAN's president and CEO. "As the project evolves, Wi-LAN is extending its expertise to the MAC software for WiMAX Certified systems, in addition to the OFDM expertise we have always had. We are optimizing our use of Wi-LAN, FMA and other party resources to accelerate the product development timeline while minimizing the cost of the project. At this point we felt it was appropriate to modify our agreement to reflect the changed roles that our companies are playing in the process."

The original August 2002 agreement contemplated developing a proprietary SoC as an interim solution. The amended agreement focuses exclusively on the development of a SoC for WiMAX Certified systems. As the IEEE 802.16a WirelessMAN standard emerged in January 2003 and the activities of the WiMAX Forum accelerated, timelines were shortened, resulting in the cancellation of the proprietary SoC project. Instead, Wi-LAN has implemented a less complex Application Specific Integrated Circuit (ASIC), which cost significantly less to develop than the proposed proprietary SoC and is expected to adequately reduce the cost of the LIBRA product line until the SoC for WiMAX Certified systems is available.

Amendments to the agreement also include increased responsibilities and commitments for FMA. Wi-LAN has agreed to compensate FMA with warrants at current market prices, to be issued under Wi-LAN's Strategic Partners Plan, in addition to the warrants that were granted upon execution of the original agreement. The agreement also stipulates that Wi-LAN is committed to purchasing a certain quantity of SoCs from FMA. A similar commitment was included in the original August 2002 agreement. Together, Wi-LAN and FMA are committed to carrying out the development of the SoC for WiMAX Certified systems through to production of engineering samples and fabrication at Fujitsu's factory.
