Wi-LAN Announces Board Changes


CALGARY, CANADA - Mar 24, 2004 - Dr. Hatim Zaghloul, Executive Chairman of Wi-LAN Inc. (TSX:WIN), today announced the following changes to the Company's board of directors:

  • Dr. Sayed-Amr (Sisso) El-Hamamsy, President and Chief Executive Officer (CEO) of Wi-LAN, was elected to the board of directors at Wi-LAN's Annual and Special Meeting of Shareholders on March 22, 2004.
  • Dr. Robert Schulz, Professor of Strategic Management at the University of Calgary's Haskayne School of Business, has resigned his position as a director of Wi-LAN, citing personal reasons. The board's Nominating and Corporate Governance Committee is currently in the process of determining potential candidates to fill the vacancy created by Dr. Schulz's resignation.

"With Sisso's appointment as CEO last December, the board felt it appropriate that he become a director. We are very pleased that the shareholders have agreed, with in excess of 99% of the votes cast at yesterday's shareholder meeting in favor of the proposed slate of directors," said Dr. Hatim Zaghloul. "While I respect Bob's decision to leave the board, I must say that he will be greatly missed. Bob has been a director of Wi-LAN since June 1998 and he has been a very active and tireless contributor to the board. We have begun the process of searching for a qualified person to fill the vacant board seat."

Once the vacancy created by Dr. Schulz's departure has been filled, the Company will have six unrelated directors and two
related directors. Wi-LAN's remaining unrelated directors are:

  • Henry Burkhalter, President and CEO, Investsearch Capital, LLC, a U.S. venture capital company;
  • William A. Dunbar, retired telecommunications industry senior executive;
  • William C. Hews, President, Fideliter Inc., a private investment and management consulting company;
  • Charles N.D. Hotzel, Partner, Charles Hotzel and Associates, Barristers and Solicitors; and
  • Frank King, President, Metropolitan Investment Corporation, a financial services company.

Wi-LAN's related directors are:

  • Dr. Sayed-Amr El-Hamamsy, President and CEO; and
  • Dr. Hatim Zaghloul, Executive Chairman.
