Wi-LAN Announces $31,350,000 Underwritten Special Warrant Financing

Financing Will Be Used to Enhance Working Capital for Larger Projects, Increase Marketing and Research and Development Exploiting Its W-OFDM Technology Leadership, and Improve Negotiating Power for Any Licensing or Partnership Deals

Wi-LAN Inc. (TSE:WIN), an innovator of high-speed wireless data/Internet communications, is pleased to announce that it has entered into a revised agreement with an underwriting syndicate led by CIBC World Markets Inc., to issue on a private placement basis and subject to regulatory approval, 600,000 special warrants at a price of $52.25 per special warrant for gross proceeds of $31,350,000. The underwriters have also been granted an option to purchase 30,000 common shares at the offering price of 52.25 per share, for a term of 12 months following the closing date. Wi-LAN agreed to increase the size of the offering from 500,000 special warrants to 600,000 special warrants. The net proceeds of the offering will be used to enhance working capital for larger projects, to finance increased marketing and research and development exploiting its W-OFDM technology leadership, and to improve negotiating power for any licensing or partnership deals.

The financing is expected to close on or about March 3, 2000 and is subject to confirmatory due diligence by the underwriters and necessary regulatory approvals.
