Wi-LAN Reprices Employee Stock Options to Retain Top Talent

Repriced Options Linked To Corporate Performance

Wi-LAN Inc. (TSE:WIN), a leading innovator in wireless data/Internet communications, today announced that it has approved the repricing of 1,138,297 employee stock options outstanding under the company's stock option plan. The options will be exercisable at a price of $14.45, equal to Wi-LAN's closing pricing on November 23, 2000. Stock options for senior executive officers and directors are not being repriced. 

"The marketplace for our highly qualified employees has become increasingly competitive," said Hatim Zaghloul, Wi-LAN chairman and CEO. "Although Wi-LAN has an excellent record of keeping staff, we took this step to ensure that the top performing teams we've assembled remain intact." 

Wi-LAN employees can retain their existing options pricing, or elect to have their options repriced. Of the repriced options, 25 per cent will be cancelled if annual corporate performance targets - including the company's $50 million revenue goal for its fiscal year 2001 - are not achieved.
